In 2008, Mr. Wagner co-founded Knighthead after being involved in the distressed and high yield business for many years. Prior to Knighthead’s founding, Mr. Wagner was most recently employed by Goldman, Sachs & Co. where he was a managing director responsible for running the distressed and high yield credit trading desks. He also co-managed the firm's Capital Structure Franchise Trading desk which combined the trading of credit and equity products issued by stressed and distressed companies. Mr. Wagner oversaw 22 traders specializing in a variety of credit and equity products including cash bonds, credit default swaps, listed and OTC equities, convertible bonds, preferred stock and equity options. Mr. Wagner was also active in the firm's mentoring, recruiting and diversity programs. Prior to joining Goldman in 2000, he was employed for two years at Credit Suisse First Boston (“CSFB”) as a high yield trader and special situations desk analyst. Mr. Wagner graduated Beta Gamma Sigma from Columbia Business School in 1999 and worked full time at CSFB during his second year of studies. Prior to attending business school, he worked for 5 years at Ernst & Young, LLP in the firm's hedge fund practice providing audit and consulting services to a wide range of investment funds. During his tenure at Ernst & Young, LLP, Mr. Wagner was registered as a Certified Public Accountant in Massachusetts and the Cayman Islands. Mr. Wagner currently serves on the Board of Trustees of Villanova University. Mr. Wagner graduated from Villanova University with a Bachelor of Science in Accounting in 1992.

Glenn R. August is the founder and CEO of Oak Hill Advisors, a leading alternative investment firm with approximately $29 billion under management across performing and distressed credit related investments. In addition to overall management responsibility, he serves as global head of the firm’s distressed investment activities. Mr. August co-founded the predecessor investment firm to Oak Hill Advisors in 1987 and took over responsibility for the firm’s credit and distressed investment activities in 1990. He has played leadership roles in numerous restructurings and, since 1987, has served on nine corporate boards. Mr. August currently serves as the Chairman of the Board of Directors of OHA Investment Corporation, a publicly traded business development company (“BDC”). He also serves on the Board of Directors of Cooper-Standard Holdings Inc., the Board of Trustees of Horace Mann School and The Mount Sinai Medical Center and on the Board of Directors of the 92nd St. Y. Mr. August earned an M.B.A. from Harvard Business School, where he was a Baker Scholar, and a B.S. from Cornell University.

Alejandro Javier García Padilla was sworn in as governor of Puerto Rico on January 2, 2013 to a three year term expiring on January 2, 2016. Since his election, Mr. Padilla has played a key role in the ongoing restructuring of Puerto Rico’s public debt liabilities.

Mr. Padilla was born in Coamo, Puerto Rico, on August 3, 1971. He received his bachelor’s degree in political science and economics from the University of Puerto Rico and later received his juris doctor from the Interamerican University of Puerto Rico. Mr. Padilla began his career working as a law clerk at Puerto Rico’s Court of Appeals. Later, he worked as an attorney, specializing in property, estates, contracts and administrative law, and also as a law professor at the Interamerican University.

In 2005, Mr. Padilla became the secretary of the Puerto Rico Department of Consumer Affairs. In 2007, he resigned his position as secretary to run for the Senate of Puerto Rico. He was elected to the Senate in 2008 and was later chosen to serve as the ranking member on the Governmental Affairs, Public Safety and Judicial Affairs committees. Mr. Padilla and his wife Wilma Pastrana have three children, Juan Pablo, Diego Alejandro and Ana Patricia.

Jim Millstein is the Founder and Chief Executive Officer of Millstein & Co., a financial advisory firm with 45 professionals in offices in Washington, D.C. and New York City. Representative engagements include advice to the Commonwealth of Puerto Rico in connection with the management of its $75 billion of institutional indebtedness; to US Airways in connection with its acquisition of American Airlines out of Chapter 11; and Caesars in its Chapter 11 proceedings.

From 2009 to March 2011, Mr. Millstein was the Chief Restructuring Officer at the U.S. Department of the Treasury. In that role, he was responsible for oversight and management of the Department's largest investments in the financial sector and was the principal architect of AIG’s restructuring and recapitalization.

Prior to joining the Treasury, Mr. Millstein served as Managing Director and Global Co-Head of Corporate Restructuring at Lazard from 2000 to 2008. Selected engagements at Lazard include representation of the United Auto Workers in connection with the restructuring of their contractual relationships with GM, Ford and Chrysler from 2005 to 2007; Charter Communications in connection with its pre-packaged plan of reorganization under Chapter 11; the Republic of Argentina in connection with the exchange offer for its international bond indebtedness; WorldCom in connection with its Chapter 11 reorganization; United Pan-European Communications in connection with its pre-arranged plan of arrangement in the Netherlands and Delaware; and, Marconi in connection with its scheme of arrangement in the United Kingdom.

Before joining Lazard, Mr. Millstein was Partner and Head of the Corporate Restructuring practice at Cleary, Gottlieb, Steen & Hamilton. Significant engagements included representation of Daewoo Corporation in connection with its financial restructuring in Korea; the Disney Corporation in connection with the financial restructuring of EuroDisney in France; representation of the Pension Benefit Guaranty Corporation in LTV’s Chapter 11 proceedings; representation of Pan-American Airlines in connection with its Chapter 11 reorganization; and, the Zell-Chilmark Fund in its acquisition of various troubled companies in and out of Chapter 11.

Mr. Millstein is an adjunct professor of law at Georgetown University Law Center, where he teaches Federal Regulation of Financial Institutions; a fellow of the American College of Bankruptcy and a Commissioner on the American Bankruptcy Institute’s Commission to Study Reform of Chapter 11.

Mr. Millstein received a J.D. from Columbia Law School, where he was a Harlan Fiske Stone Scholar. He holds an M.A. in Political Science from the University of California, Berkeley and graduated summa cum laude with a B.A. in Politics from Princeton University.
